The Exchange – Terms of Use

1. Introduction

The Exchange is a digital collaboration platform designed to support communication, engagement, and knowledge sharing within and among professional organizations (“The Exchange”). By accessing or using The Exchange, you agree to be bound by these Terms of Use and the End User License Agreement (collectively, the “Terms”).

If you are using The Exchange on behalf of an organization (“Organization”), your use must comply with both these Terms and your Organization’s own internal policies. If you do not agree to these Terms, you may not access or use The Exchange.

2. Acceptable Use

To ensure a respectful and productive environment, users of The Exchange must follow these guidelines:

You must not:

  • Post or share content that is illegal, threatening, discriminatory, harassing, obscene, violent, hateful, or otherwise objectionable.
  • Impersonate others, misrepresent your identity, or falsely claim affiliation with any person or entity.
  • Upload, transmit, or distribute malicious software, viruses, or any code designed to interfere with or damage The Exchange or its users.
  • Access The Exchange in any unauthorized manner, including through automated means (e.g., bots, scrapers).
  • Attempt to gain unauthorized access to user data, content, accounts, or systems.
  • Interfere with, disrupt, or undermine the integrity or performance of The Exchange.
  • Violate any applicable laws or infringe on the intellectual property or other rights of others.

3. Zero Tolerance for Objectionable Content and Abusive Conduct

The Exchange maintains a zero-tolerance policy for objectionable content and abusive users. This includes, but is not limited to, content that is:

  • Sexually explicit or pornographic
  • Promoting violence, hatred, or self-harm
  • Defamatory, fraudulent, or misleading
  • Disrespectful of personal boundaries or professional decorum

Violations of this policy may result in immediate suspension or termination of your access to The Exchange, with or without prior notice.

4. Content Moderation

The Exchange reserves the right to review and take action on content that violates these Terms. We may use a combination of automated systems and human reviewers to detect and address violations. This includes removing content, restricting features, or disabling accounts.

We may also notify your Organization of violations where appropriate, unless prohibited by law.

5. User Responsibilities

By using The Exchange, you agree to:

  • Comply with these Terms and any applicable laws and regulations.
  • Maintain the confidentiality of your login credentials to Azure AD B2C.
  • Use The Exchange only for lawful and authorized purposes.

6. Licensing and Ownership

The Exchange and all associated services are licensed, not sold. All intellectual property rights in The Exchange belong to Food Banks Canada. You may not reproduce, distribute, or create derivative works without express written permission.

7. Termination

We reserve the right to suspend or terminate your access to The Exchange if you breach these Terms or pose a risk to other users, our systems, or our reputation. Your Organization may also restrict or revoke access at its discretion.

8. Feedback

We welcome your feedback, suggestions, and ideas. By submitting feedback, you grant us a non-exclusive, worldwide, royalty-free right to use and incorporate it without restriction or obligation.

9. Changes to Terms

We may update these Terms periodically. We will notify you of material changes via the platform or email. Continued use of The Exchange after such notice constitutes acceptance of the updated Terms.


The Exchange – End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Food Banks Canada (“Licensor”) governing your use of The Exchange platform and any related services, software, applications, or materials provided (collectively, “The Exchange”).

By accessing or using The Exchange, you agree to be bound by the terms of this Agreement. If you do not agree, do not install, access, or use The Exchange.

1. License Grant

Subject to your compliance with this Agreement and the applicable Terms of Use, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to access and use The Exchange solely for internal, lawful business purposes in accordance with the policies of your Organization.

2. Restrictions

You may not:

  • Use The Exchange in violation of any law or regulation;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from The Exchange;
  • Copy, reproduce, modify, adapt, or create derivative works based on The Exchange;
  • Lease, rent, sell, sublicense, assign, or otherwise transfer any rights in The Exchange;
  • Use The Exchange in a way that interferes with its normal operation or infringes on the rights of others;
  • Introduce malicious code or attempt to bypass security or access controls;
  • Post, transmit, or share any content that is unlawful, abusive, harassing, defamatory, obscene, or otherwise objectionable.

3. Zero Tolerance for Abusive Conduct

The Exchange has a zero tolerance policy for:

  • Abusive, threatening, or harassing behavior
  • Hate speech or discriminatory remarks
  • Inappropriate or harmful content, including sexually explicit or violent material

Any violation of this policy may result in immediate termination of access without prior notice.

4. Ownership

The Exchange, including all software, content, and intellectual property therein, is owned by Food Banks Canada and protected by copyright and other applicable laws. You are granted a right to use, not ownership of, The Exchange or any component thereof.

5. Updates and Changes

Licensor may from time to time provide updates, upgrades, or modifications to The Exchange. These may be installed automatically and may affect how The Exchange functions. Use of updated versions is subject to this Agreement.

6. Termination

This license is effective until terminated. Licensor may terminate this Agreement and revoke your access to The Exchange at any time, with or without cause. Upon termination, you must cease all use of The Exchange and delete any locally stored data if applicable.

Your Organization may also suspend or revoke access in accordance with its internal policies.

7. Data and Privacy

Use of The Exchange is subject to the Privacy Policy and the data practices of Food Banks Canada. You acknowledge that Food Banks Canada may have access to your activity and content within The Exchange and may moderate, archive, or delete such data as necessary.

8. Disclaimer of Warranties

The Exchange is provided “as is” and “as available,” without warranty of any kind, express or implied. Licensor does not guarantee that The Exchange will be error-free or uninterrupted. You use The Exchange at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, Licensor will not be liable for any indirect, incidental, special, or consequential damages arising from or relating to your use of or inability to use The Exchange.

10. Governing Law

This Agreement is governed by the laws of Ontario, Canada, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the courts of Ontario, Canada.
